Terms of Service

1. Scope

These Terms of Service (hereinafter "Terms") apply to all contracts regarding the use of the software "PathHub AI" (hereinafter "Software" or "Platform") concluded between PathHub AI (hereinafter "Provider") and users (hereinafter "Customer" or "User"). These Terms apply exclusively. Deviating, conflicting or supplementary general terms and conditions of the Customer shall only become part of the contract if and to the extent that the Provider has expressly agreed to their applicability. This consent requirement shall apply to any amendment of these Terms.

2. Subject of the Contract

2.1 Service Description

The Provider operates a web-based software platform for AI-powered project planning with company context. The Software enables users to create project plans with phases, tasks, milestones, budget tracking and compliance checklists.

3. Registration and Contract Formation

3.1 Registration

The User registers by completing the registration form on the Provider's website. The User warrants that the information provided is true and complete. In the event of changes to data, the User shall update them in their account without delay.

3.2 Contract Formation

The contract is formed when the Provider accepts the User's registration by sending a confirmation email and grants the User access to the Software.

3.3 Right of Withdrawal

Consumers are entitled to a right of withdrawal in accordance with statutory provisions. Further information on the right of withdrawal can be found in the withdrawal policy.

4. Obligations of the User

4.1 Access Credentials

The User receives access credentials (username/email and password). The User must keep these credentials confidential and protect them from unauthorized use. The User is obliged to inform the Provider immediately if there are indications that their access credentials are being used by unauthorized third parties.

4.2 Use of the Software

The User agrees to use the Software exclusively in compliance with applicable law. In particular, the User is prohibited from:

5.1 Prices and Payment Terms

The prices for the various plans are available on the Provider's website. Pursuant to Section 19 of the German VAT Act (UStG), no VAT is charged (small business regulation). The stated prices are final prices.

5.3 Subscription Term and Cancellation

The subscription renews automatically for the selected term unless cancelled in a timely manner. The cancellation notice period is 14 days before the end of the respective billing period. Cancellation can be made by email to hello@pathhub.ai or through the user account.

5.4 Refunds

In the event of early cancellation, amounts already paid will not be refunded unless there is a statutory or contractual basis for a refund.

6. Availability and Maintenance

6.1 Availability

The Provider endeavors to keep the Software available 99.5% per year (uptime). Excluded from this are periods during which the Software is unavailable due to technical issues or maintenance work.

6.2 Maintenance

The Provider carries out maintenance work as necessary. The Provider will perform maintenance work outside of business hours whenever possible and will notify Users in advance.

7. Limitation of Liability

7.1 Warranty

The Provider warrants that the Software is generally functional and fulfills the agreed-upon features. The Provider assumes no liability for temporary disruptions and unavoidable technical problems.

7.2 Liability

The Provider's liability is limited to cases of intent and gross negligence. In cases of simple negligence, the Provider is only liable for breaches of essential contractual obligations (cardinal obligations). In such cases, liability is limited to the foreseeable, contract-typical damage.

The above limitations of liability do not apply to damages arising from injury to life, body or health, or to damages based on an intentional or negligent breach of guarantees.

8. Data Protection

The Provider collects, processes and uses personal data of the User in compliance with applicable data protection regulations, in particular the General Data Protection Regulation (GDPR). For further information, please refer to the Privacy Policy on our website.

9. Copyright and Usage Rights

9.1 Provider's Copyright

All content of the Software and the Provider's website, in particular texts, images, graphics, software and their compilation, are subject to the Provider's copyright. Reproduction, editing, distribution or any form of exploitation beyond the limits of copyright law requires the written consent of the Provider.

9.2 User's Usage Rights

During the contract term, the User receives a time-limited, non-transferable and non-exclusive right to use the Software to the agreed extent. Transfer of usage rights to third parties is not permitted.

10. Confidentiality

Both contracting parties undertake to treat all confidential information that becomes known to them in the course of contract performance as confidential and not to disclose it to third parties, unless this is necessary for the fulfillment of the contract or required by statutory provisions.

11. Amendments to the Terms

The Provider reserves the right to amend these Terms at any time with effect for the future. The amended terms will be sent to the User by email at least 4 weeks before they take effect. If the User does not object to the amended terms within 6 weeks of receiving the notification of amendment, the amended terms shall be deemed accepted. The Provider will inform the User of the right to object and the significance of silence in the notification of amendment.

12. Final Provisions

12.1 Written Form

All amendments and additions to these Terms must be in writing. This also applies to the amendment of this written form requirement itself.

12.2 Jurisdiction and Applicable Law

The law of the Federal Republic of Germany shall apply, excluding the conflict-of-law rules of private international law. The place of jurisdiction for all disputes arising from or in connection with this contract is Düsseldorf, provided that the User is a merchant, a legal entity under public law or a special fund under public law.

12.3 Severability Clause

Should any provision of these Terms be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.
